 Terms of Service of Prowd’s Corporate Chatbot

1. INTRODUCTION AND DEFINITIONS

« TOS »: refers to these general Terms Of Service, which govern your access to and use of the Service ;

The « Service » means Prowd’s « Corporate Chatbot » (conversational robot), accessible from certain chat software such as Microsoft Teams, Google Chat, Slack (the « Channel »), and all its services and associated web pages;

« Prowd » (or « we », « us », « our ») refers to the social business company PROWD SAS, whose registered office is located at 61, rue des Morillons, 75015 Paris (France), identified in the Paris ‘s RCS under number 833 490 592 ;

« User » (or « you », « your », « yours »): refers to any individual interacting with the Service, being part of the staff of the company having subscribed by contract to the Service (the « Company »).

 

2. ACCESS, REGISTRATION AND USE OF THE SERVICE

2.1. Access and registration to the service

To access the service, the user must go to the Company’s internal Chat Channel (e.g. MS Teams, Slack, Google Chat). The availability of the Service on this Channel has been set up jointly by the Company and Prow. In the event of a problem or if the User cannot access the Service, the User is invited to contact the network administrator of the Company and/or Prowd using our contact form: https://www.beprowd.com/contact/.

At the time of his first contact with the Service, the User is commited to read these TOS, and the use of the Service constitutes acceptance without reservation of these TOS. The User is responsible for the use of his credentials and electronic devices. The User is informed that any third party using his device may potentially use the Service on his behalf. Consequently, to limit this risk, the User is invited to secure access to his device. The User agrees to use the Service only for the purposes authorized by the TOS, and any laws, regulations or generally accepted practices or guidelines in the relevant jurisdictions. Consequently, the User acknowledges that he is solely responsible to Prowd for all acts performed on the basis of his data communicated at the time of registration. If the User becomes aware of any unauthorized use of the service on his behalf, he is commited to inform Prowd without delay via our contact form: https://www.beprowd.com/contact. The User hereby authorizes Prowd to record and use, by computer processing, the information provided by the User (see our Privacy Policy). Prowd shall not be liable for any loss or damage arising from a breach of the obligations of this article.

 

2.2. Availability of the service

The Service is available seven days a week, 24 hours a day, for the duration defined by the contractual relationship between the Company and Prowd. The Service may be interrupted for preventive or curative maintenance needs, without prior notification to the User. The Service is also subject to the hazards of the Channels on which it depends (Teams, Chat, Slack): maintenance, peak load of global servers, etc.. Consequently, Prowd cannot guarantee accessibility and availability of the Service, reliability of transmissions and performance in terms of response time or quality.

The responsibility of Prowd could not be engaged in case of impossibility of access to the Service, the User acknowledges and accepts that Prowd is not responsible for interruptions, and the consequences that may result for the User or any third party.

In the event of a technical problem, Prowd provides technical assistance to the User and the Company: if you encounter a difficulty during your interaction with the Service, send the message « Help » in the conversation with the User. You will then receive detailed advice on how to use the Service. If the difficulty persists, please contact us through our contact form (https://www.beprowd.com/contact/) explaining as precisely as possible the situation and its causes.

2.3. Use of the service

In case of non-compliance with the TOS by a User, Prowd reserves the right to restrict or block access to the Service to said User, without notice. Prowd does not endorse and assumes no responsibility for the consequences of the termination of the Service for the User.

 

3. PROTECTION OF PERSONAL DATA

Some personal information (such as first name, last name, email address, Channel’s user ID) is collected by Prowd to ensure the Service operation and customization for the user. 4. RESPONSIBILITY OF THE USER

By using the Service, the User is commited to :

– not to send comments, photos or any other type of content of a violent, racist, pornographic, child pornography, or any other sexual nature involving human beings, whether totally or partially naked, 
– directly or indirectly imply threats to others,
– don’t brag about being « green » while ordering a « banana-Nutella® » pancake for dessert and returning from a carbon-uncompensated plane trip to Bali,
– respect the local and national laws in force in their country of residence regarding online services and content,
– respect the present TOS.

     

    5. LINKS TO OTHER SITES AND SERVICES

    The Service may contain links (e.g., sources of ecological impact figures, articles, recommendations, etc.) to third-party websites or services that are not owned or controlled by Prowd. Prowd is not responsible for the content, privacy policies or practices of such third party websites or services.

     

     

    6. DISCLAIMER – LIMITATION OF LIABILITY

    6.1 Prowd does not guarantee that the chatbot is totaly free of defects or errors in its operation and content.

    6.2 Prowd is in no way responsible for the content generated or published by Users on the Service.

    6.3 Prowd is a social business company, by-design driven towrds  positive social and environmental impacts. As part of the Service, Prowd offers an evaluation of the ecological and solidarity impacts of the contents (challenges, missions, quizzes, news, etc.). For example: 1-the number of kWh (kilowatt-hours, and therefore kilograms of CO2 not released into the atmosphere) saved by turning off the computer at the end of the day rather than leaving it on standby; 2-the number of beneficiaries helped during a solidarity action such as: donation to a food bank, math lessons for a disadvantaged student, etc. These scales of measures (e.g.: kg of CO2 avoided, beneficiaries) as well as the numerical estimates of these impacts have been defined and estimated by Prowd on one hand on the basis of the most reliable data possible in the literature (e.g. the Ademe Carbon Base – French Environment and Energy Management Agency), and on the other hand on the basis of hypotheses taken by Prowd. These hypotheses have, where appropriate, the purpose of proposing clear information and figures that are intelligible to Users. They are justifiable on simple request made to Prowd. Moreover and in order to allow a fluid and simple user experience, most of these estimates are averages (often annual and per French person), not adapted to the particular cases of each User and Company. As a result, Prowd only informs about the potential impact, and not about the real impact in the Company, which depends on each case and on the real and non declarative action of each User. Prowd thus rejects any responsibility for the difference in impact between the figures announced by Prowd and possible measurements in real conditions carried out by a User or the Company.

    6.4 Prowd guarantees that the Service has been built solely for (and only allows) exchanging with Users on the Channel, by e-mail and on the web pages associated with the Service, with the sole purpose of carrying out the service defined by the contractual relations between Prowd and the Company. To the extent permitted by law, however, Prowd shall not be liable for any direct, indirect, incidental, consequential, special, punitive, including but not limited to loss of revenue, loss of data, viruses or other malware, damage to computer equipment and business interruption, whether or not Prowd has been advised of the possibility of such damages, to the User and/or the Company. Note that nothing in these TOS affects the legal rights of any User, or excludes or restricts the liability resulting from gross negligence or willful misconduct of Prowd, the burden of proof being on the User and/or the Company.

     

    7. COPYRIGHT

    All content available on the Service (text, software, script, graphics, graphical interface, images, sounds, this list is not exhaustive) are the exclusive property of the company Prowd and are protected by the Intellectual Property Code.

    Any use of these contents by the User, except for personal use or use restricted to the framework of the company, and not commercial, is prohibited without prior written authorization of Prowd.

     

    8. APPLICABLE LAW

    These Terms of Use and the contractual relationships arising from the use of the Chatbot are governed by French law, and are subject to the exclusive jurisdiction of French courts.

     

    9. MODIFICATION OF THE PRESENT TERMS

    The services of Prowd evolve, and therefore these TOS are likely to evolve too. We reserve the right to update or modify these Terms of Use at any time and we recommend that you consult them regularly at the following address: https://www.beprowd.com/chatbot-terms-of-service. Your use of the Chatbot after any changes to these TOS are posted on this page constitutes your acknowledgement of the changes and your consent to these new TOS.

    We will notify you of any major change to these Terms of Use, either through the email address you have provided or through the Chatbot itself.
